Bylaws for the Jewish Genealogical Society of Connecticut. Inc.
ARTICLE I: NAME
The name of this organization shall be the Jewish Genealogical Society of Connecticut, Inc. The
name may be abbreviated to “JGSCT”.
ARTICLE II: NON-PROFIT
The JGSCT shall be operated as a non-profit organization as designated by the laws of the State
of Connecticut.
The fiscal year of the JGSCT shall be January 1-December 31.
ARTICLE III: OBJECTIVES
The objectives of the JGSCT shall be:
1. To collect, preserve, and provide access to Jewish genealogy resources
2. To plan programs designed to be of interest to those conducting research
3. To assist members in their individual research
4. To promote the publication and preservation of records and documents
ARTICLE IV: MEMBERSHIP
1. Any person interested in pursuing the objectives of the JGSCT shall be eligible for
membership upon:
a) Submitting the appropriate application to join
b) Paying the established yearly dues
2. The Board of Directors shall determine the yearly membership dues
3. Any new member joining the JGSCT after June 30th shall pay 50% of the yearly dues
4. Failure to pay yearly dues by March 1st will result in that person being notified by the
Treasurer, in an appropriate manner, that the individual will be removed from the membership
roster by March 31st
ARTICLE V: OFFICERS
The JGSCT elected officers are a President, Vice-President, Secretary, and Treasurer
1. The President shall be the principal executive officer and shall be responsible for:
a) The overall operation and functioning of the JGSCT
b) Presiding at all regular, annual, and special meetings
c) Presiding at all meetings of the Board of Directors
d) Appointing a Membership Chair, Webmaster, Publicity Chair, At-Large-Member(s), Quest
Editor, Advisor, Librarian and all Committees. All appointments are subject to the approval of
the Board of Directors
e) Appointing a Program Chair and ensuring that appropriate programs are prepared for each
month’s meeting
f) Designating another Board member to be in charge when the President is absent and the Vice-
President is not available
g) Voting only when a tie occurs at any regular, special, annual, or committee meeting
2. The Vice-President shall provide assistance as requested by the President or the Board of
Directors, and shall substitute in the absence of the President at any meeting and succeed the
President if the President is unable to serve
3. The Secretary shall:
a) Maintain a record of all meetings and provide minutes at each meeting
b) Conduct any correspondence as required by the JGSCT.
c) Be responsible for notifying all members of upcoming programs and all regular, special, and
annual meetings.
4. The Treasurer shall be responsible for all financial aspects of the JGSCT, including:
a) Depositing all incoming funds in insured banks.
b) Investing funds as directed by the Board of Directors.
c) Paying all bills as authorized by the Board of Directors.
d) Collecting all dues and accounts receivable.
e) Maintaining accurate records of all income and expenditures.
f) Providing financial statements at Board of Director meetings, special meetings, and annual
meetings as required.
g.) Filing appropriate papers for the maintenance of the non-profit status:
ARTICLE VI: BOARD OF DIRECTORS
The Board of Directors shall be composed of all elected officers as stated in Article V in addition
to the following positions which are appointed by the President with the approval of the Board of
Directors:
1. The Membership Chair shall be responsible for promoting new membership and retention of
current members. The Membership Chair shall maintain a current listing of all JGSCT members;
2. The Webmaster shall be responsible for updating and maintaining the JGSCT Website so that
the information is current and accurate. Updates are subject to approval by the President;
3. The Publicity Chair shall be responsible for managing publicity in the media pertaining to
meetings, programs, and accomplishments of the JGSCT;
4. At-Large-Member(s) shall provide guidance and assistance to the President and Board of
Directors as requested;
5. An Advisor shall provide religious expertise and knowledge to the Board as appropriate;
6. The Program Chair shall be responsible for scheduling monthly programs with the guidance of
the Board of Directors;
7. The Quest Editor who shall be responsible for the quarterly publication of genealogical
information, for programs of interest and news and for writing meeting notices.
8. Past Presidents shall also be members of the Board, with only the immediate past President
having a vote.
The Board of Directors shall:
1. Be responsible for all matters pertaining to the JGSCT.
2. Meet as they deem necessary to conduct appropriate business.
3. Conduct a special board meeting upon the request of two (2) members of the Board of
Directors.
4. Authorize an audit of yearly income and expenses.
5. Appoint a JGSCT member to replace any elected officer who resigns.
6. Consider replacing any elected board member who misses three (3) consecutive meetings
without cause.
7. Determine the dates, locations, and times of all regular, special, and annual meetings.
8. A quorum shall consist of a majority of the board members.
VII: ELECTIONS
The Board of Directors shall appoint a Nominating Committee consisting of three (3) JGSCT
members by November 30, in every other even numbered year. The Board shall designate a
Chairman of this Committee.
1. The Nominating Committee shall submit a list of proposed Officers to the Board at the regular
December meeting, and include the list in Quest.
2. Upon receipt of the list, the secretary shall provide written notice to all members of the
election to be conducted at the bi-annual meeting in March.
3. Any member of the JGSCT may be nominated for elected office by any member in good
standing by e-mail, post or at the bi-annual meeting
4. Officers shall serve for a period of two (2) years.
5. The new officers and appointees shall commence their duties at the conclusion of the biannual
March meeting.
6. The quorum for the bi-annual meeting shall be a majority of the members present.
VIII MEETINGS
1. The JGSCT shall meet monthly with no meetings normally scheduled in July and August, or
shall meet as determined by the Board of Directors.
2. All meetings shall be held at the Godfrey Memorial Library, 134 Newfield Street,
Middletown, Connecticut, unless otherwise scheduled.
3. The Program Chair shall provide prior notice to all members of all regular, special, and annual
meetings. This notification shall include date, time, program, and any other pertinentinformation.
4. Members will be notified of any cancelled meetings.
5. The annual meeting shall be held in March.? In election years, the list of nominated officers
shall be provided to all members prior to the meeting.
6. Only members in good standing shall have a vote at any meeting.
IX: PARLIAMENTARY AUTHORITY
Roberts Rules of Order or the JGSCT Bylaws shall govern the procedures of all meetings unless
otherwise specified in these JGSCT Bylaws or adopted in the future. A copy of Robert’s Rules of
Order shall be maintained by the President at all meetings.
X : AMENDMENT OF BYLAWS
Amendments to these Bylaws may be submitted to the Board of Directors by any member with
ten (10) signatures of other members, all in good standing. After review, the Board of Directors
shall vote on the amendment(s), with a two thirds (2/3) vote of those present required for
adopting. The amendment(s) shall then be subject to approval by a majority of JGSCT members
(all in good standing), upon appropriate written notification, at a specified meeting.
XI DISSOLUTION
The dissolution of the JGSCT may be considered by the Board of Directors at any regular,
special, or annual meeting. The President shall designate three (3) Board members to review,
evaluate, and bring recommendations to the Board.
Upon majority approval by the Board to dissolve the JGSCT, written notification of the
dissolution shall be mailed to all members. Upon majority approval of votes submitted by
members in good standing, the JGSCT shall be dissolved. All assets shall be disposed of as
directed by the Board of Directors and payment to all creditors shall be made in full or in
proportion to the total funds available. After sixty days, any funds remaining shall then be
disposed of in accordance with the non-profit laws specified by the State of Connecticut.
